Can someone please answer the following:

1) Can we change the looks of the UI (customer and/or admin) in the new version with the new license?
2) What happens if we need to do a modification in the actual functionality code (not just looks)?

The terms and conditions of the license are described here:-

You still have complete freedom to modify the code, look and feel. However, where our copyright is displayed, and where the AGPL license is displayed, you have to display it there as well.

However, we can sell you a permission to circumvent this requirement, as there is sometimes a business case for doing so.

Additionally, the AGPL is a good license for Web applications such as A2Billing, as it is similar to the GPL, but adds the provision that the complete source code be made available to any network user of the AGPL-licensed work.

Basically, the AGPL is not asking you to do anything more than A2Billing does for you.
